Acceptance of Terms

By accessing or using Proquiro, you agree to these Terms of Service and all applicable laws and regulations. If you do not agree, you must not access or use the service.

If you use Proquiro on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Service Scope

Proquiro is a software platform used to support land acquisition workflows, including lead tracking, field execution, document handling, pricing intelligence, competitor intelligence, task workflows, analytics, and related reporting.

Features may be plan-gated, beta, region-specific, or operationally limited. We may add, modify, suspend, or discontinue features from time to time, subject to applicable law and any written agreement.

Eligibility and Authorized Use

You may use Proquiro only if you are at least 18 years old, legally capable of entering a binding agreement, and using the service for legitimate business or professional purposes.

You are responsible for ensuring your use complies with all applicable laws, regulations, and professional obligations.

Accounts, Credentials, and Access Control

Account information. You must provide accurate and complete account information and keep it current.

Credentials and security. You are responsible for safeguarding credentials, devices, and access methods used to access Proquiro, and for all activities under your account unless prohibited by law.

Access administration. Account admins are responsible for user provisioning, role assignment, and timely access removal.

Subscriptions, Billing, and Plan Limits

If you purchase a paid plan, you agree to pay all fees, taxes, and charges under the pricing and billing terms presented at purchase, in your order form, or in your MSA.

Features, usage limits, export access, audit retention, and support levels may vary by plan. If you exceed a plan limit, we may restrict the affected functionality until the issue is resolved or the plan is upgraded.

Plan changes. You may upgrade or downgrade your plan at any time from your account settings. Upgrades take effect immediately and are charged on a prorated basis for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle.

Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. Your workspace will revert to the Free plan after the paid period ends.

Refunds. Refund requests must be made within seven (7) days of the relevant billing date by contacting our support team. Refunds are considered on a case-by-case basis and granted at our sole discretion. Outside this window, fees are non-refundable except where required by applicable law.

Failed payments. If a payment fails, we may suspend access to paid features until the issue is resolved. You are responsible for maintaining valid payment information. Outstanding balances must be settled before paid access can be restored.

Customer Content and Instructions

Ownership. You retain rights to data, documents, images, and other materials you submit to Proquiro (“Customer Content”), subject to the rights you grant us to provide the service.

License to operate the service. You grant us and our subprocessors a limited right to host, store, process, scan, analyze, transform, transmit, and back up Customer Content as necessary to provide, secure, maintain, and improve the service and comply with law.

Your responsibility. You represent and warrant that you have all rights, permissions, and lawful basis necessary to submit Customer Content and instruct us to process it.

Acceptable Use and Prohibited Conduct

You must not:

• Use Proquiro for unlawful, deceptive, or abusive activity
• Upload malicious code or attempt to compromise security
• Bypass plan limits, access controls, or rate limits
• Reverse engineer, decompile, scrape at scale, or derive non-public service logic except where permitted by law
• Use the service or outputs to infringe rights or violate privacy/confidentiality obligations
• Upload content that is illegal, infringing, harmful, or unauthorized

AI and Decision-Support Terms

Proquiro may provide AI-assisted outputs such as document extraction, summaries, classifications, pricing support, risk indicators, recommendations, or draft reports.

No professional advice. AI outputs are decision-support tools only and may contain errors, omissions, or outdated information. They are not legal, financial, tax, or investment advice.

Human review required. You are solely responsible for reviewing outputs and making final decisions using qualified human judgment.

Intellectual Property

We and our licensors own the Proquiro service, including software, interfaces, documentation, branding, and non-customer materials, except as expressly stated in a written agreement.

“Proquiro” and related marks are trademarks of Quiro Tech Solutions and/or its affiliates. You may not use our trademarks without prior written permission, except to identify the service in good faith.

Confidentiality

Each party may receive confidential information from the other. The receiving party must use reasonable care to protect it and may use it only to perform or receive the services, unless otherwise permitted by law or written agreement.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed, or lawfully received from a third party without restriction.

Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data on behalf of a customer, applicable contract terms and data processing terms may also apply.

Customers remain responsible for their own legal basis, notices, and instructions for Customer Content they submit or cause to be processed.

Service Availability, Security, and Changes

We may perform maintenance, patches, upgrades, security changes, or infrastructure changes that affect availability or functionality. We may use third-party providers and subprocessors to operate the service.

We may suspend access in whole or in part if reasonably necessary to prevent harm, address security risks, comply with law, or respond to abuse or payment issues.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROQUIRO IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted or error-free service, or that all defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, Quiro Tech Solutions and its affiliates, officers, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption arising from or related to the service.

To the maximum extent permitted by law, our aggregate liability arising out of or related to the service will not exceed the amounts paid (or payable) by you for the relevant service during the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms limits liability to the extent such a limitation is prohibited by applicable law.

Indemnity

You agree to defend, indemnify, and hold harmless Quiro Tech Solutions and its affiliates, officers, employees, agents, and licensors from claims, losses, liabilities, damages, and reasonable costs (including legal fees) arising from or related to your use of the service, your Customer Content, your violation of these Terms, or your violation of law or third-party rights.

Suspension and Termination

You may stop using the service at any time. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, created a security or legal risk, failed to pay applicable fees, or if required by law.

On termination, your right to access the service ends, subject to any post-termination access or export rights in a written agreement. Provisions that by their nature should survive termination will survive.

Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law rules, unless a written agreement states otherwise.

The parties will first attempt to resolve disputes through good-faith discussions. If unresolved, disputes may be referred to mediation and/or arbitration in Chennai, Tamil Nadu, subject to applicable law and any written agreement.

Courts located in Chennai, Tamil Nadu will have exclusive jurisdiction over matters not resolved through agreed dispute mechanisms, unless otherwise required by law.

Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page and may also be communicated by email, in-product notice, or other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires a different process.

General Provisions

Entire agreement. These Terms, together with applicable order forms, MSAs, and incorporated policies, form the agreement between you and Quiro Tech Solutions for the relevant services.

Severability and waiver. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, or other corporate transaction.
